
BY-LAWS OF PERRY COUNTY UNITE DRUG COALITION, INC.
ARTICLE I NAME AND PURPOSE
The name of the Corporation shall be Perry County UNITE Drug Coalition, Inc. The Corporation shall be a nonprofit Corporation organized under the laws of the Commonwealth of Kentucky, KRS Chapter 273.
Perry County UNITE Drug Coalition,Inc. is organized for the purpose of producing drug-free communities by bringing about a change in attitudes, behaviors, and increasing knowledge, skills, and restoring peace, hope, and joy to our communities by reclaiming a drug-free way of life.
ARTICLE II MEMBERSHIP
In order to become a member of Perry County UNITE Drug Coalition, Inc., potential members must meet the following requirements: 1) Attend regular meetings, with voting rights being determined by attendance at a minimum of eight of the twelve meetings preceding the meeting of the vote to be taken, as determined by the records of attendance taken at each meeting. A member who has missed five of the last twelve meetings will be considered inactive. 2) A newly joined member shall be considered and active member so long as his/her attendance meets or exceeds the two-thirds requirement. 3)Be an active member of a permanent committee. 4) Accept the mission and vision statements in their entirety. 5) Accept what the coalition is about, namely Unlawful Narcotic Investigation, Treatment and Education.
Members of Perry County Unite Drug Coalition, Inc., have the following rights and responsibilities: 1) To conduct themselves in an orderly and professional fashion in meetings and everyday activities. 2) To focus on the stated mission, with all actions pertinent to the coalition being directed toward the betterment of the coalition and the achievement of coalition goals. 3) To respect the diverse opinions of the membership. 4) to work toward agreement on common actions toward common goals. 5) Members have the right to present their thoughtful opinions and observations, and have them respectfully heard. 6) Members must be free and remain free of illegal drug activity. 7) Members must attempt to recruit new members on a continual basis. 8) Members must be active in fund raising activities.
Members of Perry County Unite Drug Coalition, Inc. may be dismissed from membership for cause by a motion and second from the floor of a regular meeting. A two-thirds majority vote of those eligible is required for this action.
ARTICLE III OFFICERS
Officers' titles are as follows: President,Vice-President, Treasurer, and Secretary. the order of precedence in assuming the presiding powers of the President in the event of his/her absence at a regular meeting shall be as listed in the above sentence. Election of the above named officers shall be accomplished in accordance with procedures as listed in Robert's Rules of Order, Simplified and Applied, Second Edition. In general, officers will conduct their offices as set forth in the above listed publication. Specific changes and deviations form the above listed publication must be accomplished by majority vote at a regular meeting of the coalition.
Officers will be elected for a one-year term, but may continue in office if there is no call for elections at the end of that term. Any member in good standing may call for elections after expiration of that term. A majority vote is required for approval.
Acceptance of nomination and election to office by a member will carry with it an obligation to provide a thirty day notice of intent to resign, except in the case of an emergency situation.
Officers may be removed from office by motion from the floor of a regular meeting, providing the motion is properly carried by a two-thirds majority of eligible voting members present.
ARTICLE IV COMMITTEES
The corporation shall have the following permanent committees:
1. Neighborhood Watch: This committee will create community watch groups to protect people and their belongings. You will be the eyes and the ears of the community. The coalition will utilize the Operation UNITE office to ensure anonymity of reporting illegal activity.
2. Court Watch/Judicial Review: This committee will monitor local sentencing and restitution hearings of individuals charged with drug offenses.Volunteers may want to sit in on court hearings and monitor news reports.
3. Youth and Education: This committee will review local activities that involve youth. The coalition may consider sponsoring drug free activities. This committee will include educators and parents with the intent of building UNITE clubs within the local schools to sponsor and enhance drug free education and school projects.
4. Medical Advisory: This committee should include physicians, nurses,pharmacists and those involved in medical occupations. This committee will provide accurate information on the drugs of abuse to those involved in local medical concerns as well as encouraging the local medical community to utilize KASPER.
5. Family Support/Faith Based: This committee will reach out to the families affected by substance abuse and provide support, referrals, and direction for assistance.
6. Grant Writing: This committee will be responsible for researching and applying for funding sources to enhance coalition efforts . All officers are ex officio members of this committee.
ARTICLE V DECISIONS
Decisions are to be made as follows: A motion must be presented by an active member, seconded by an active member and approved by majority, unless otherwise stated in these by-laws. At least 50 per cent of the active membership plus one member must be in attendance to constitute a quorum.
ARTICLE VI BOARD OF DIRECTORS
Board Size and Role: The board shall have seven(7) members. The elected officers are ex officio members: If possible, the other members should be from the community at large. The board is responsible for assuring fund raisers are planned and supported: that grant applications are being filed: that committees are being productive: that all members are in compliance with by-laws, and that elections of officers are conducted when necessary.
Board Meetings: The board shall meet quarterly at an agreed upon time and place.
ARTICLE VII MEETINGS
Regular Meetings: The membership shall convene in regular session at a time and place directed by the Board of Directors. When called to order by the presiding officer,Robert's Rules of Order, Simplified and Applied, Second Edition, shall govern the conduct of the meeting. The rules may be suspended by the presiding officer at his/her discretion for purposes of discussion, but no formal actions may be taken under suspension of rules.
Special Meetings: The membership, in whole or in part as deemed necessary may convene in special session at a time and place directed by the Board of Directors, or by the elected officers acting as a Committee of the Executive. Unless authorized by a majority vote of a prior regular meeting, those attending the special meetings shall have no authority to commit the Coalition to any act or purpose, but shall return to the membership in regular session with proposal(s) for their consideration. An official meeting may not be convened with less than two officers present to perform the duties of president and secretary.
